1. About ExedusTools

ExedusTools is an international tools supplier based in Sialkot, Pakistan. We manufacture and supply jewelry tools, pet tools, and gardening tools to wholesale and bulk customers across the USA, UK, European Union, and Australia.

We also offer full product customization — customers can request modifications to any existing product or commission entirely new products to be manufactured, whether listed on our website or not.

By accessing our website or placing an order, you agree to these Terms & Conditions in full.

2. Eligibility

You must be 18 years or older to place an order with ExedusTools
By placing an order you confirm that all information provided is accurate and complete
Wholesale accounts must be registered businesses with valid company or tax identification

3. Products & Availability

All product listings are subject to availability
We supply standard catalog items as well as made-to-order and custom manufactured products
Custom & Bespoke Products: We can manufacture any product to your exact specifications, whether listed on our website or not

ExedusTools reserves the right to discontinue or modify any product at any time
Product images are for illustration purposes — minor variations may occur

4. Custom & Bespoke Manufacturing

ExedusTools offers full product customization:

Customers may request modifications to existing products
Customers may commission completely new products not listed on our website
All custom orders require written confirmation of specifications before production begins
Once production has been confirmed in writing, orders cannot be cancelled or modified
A signed agreement or purchase order is required for all custom manufacturing

5. Pricing

All prices are confirmed in the official quotation or purchase order issued by ExedusTools
Prices are subject to change — the price confirmed in writing at order confirmation is the binding price
ExedusTools is not responsible for currency conversion fees charged by your bank or payment provider
Custom product pricing is provided on a case-by-case basis upon request

6. Payment Terms

Accepted Payment Methods:

Western Union
Direct Bank Transfer (Wire Transfer)

Standard Wholesale Orders:

50% advance payment at order confirmation
50% balance before dispatch
Unless otherwise agreed in writing

Custom / Made-to-Order:

50% advance payment before production begins
50% balance before dispatch
Unless otherwise agreed in writing

7. Order Confirmation

An order is only confirmed once you receive a written order confirmation from ExedusTools
ExedusTools reserves the right to cancel or refuse any order at its discretion, including cases of pricing errors, stock unavailability, or suspected fraud
For wholesale and custom orders, a signed purchase order or written email confirmation constitutes a binding agreement
For custom orders, production will not begin until specifications are confirmed and advance payment is received

8. Shipping & Delivery

Orders are dispatched from our manufacturing and dispatch facility in Sialkot, Pakistan, or via our international logistics partners
Estimated dispatch and delivery times will be communicated at the time of order confirmation
Once a tracking number has been provided to you, ExedusTools considers its dispatch obligation fulfilled
ExedusTools is not responsible for delivery delays caused by:
- Courier or logistics provider delays
- Customs clearance or import inspections
- Natural disasters, pandemics, wars, port strikes, or any force majeure event
- Incorrect or incomplete delivery address provided by the customer
All post-dispatch delivery issues must be raised directly with the courier using the provided tracking number
Import duties, taxes, and customs fees at the destination country are the sole responsibility of the buyer

9. Returns & Refunds

Wholesale Orders:

Returns are accepted only in cases of manufacturing defects or incorrectly supplied items
Claims must be raised within 7 days of receiving the shipment with photographic evidence]

Custom / Made-to-Order Items:

No returns accepted unless the item has a manufacturing defect or is completely different from confirmed specifications
Claims must be raised within 7 days of delivery with full photographic or video evidence
ExedusTools is not liable for dissatisfaction arising from specifications confirmed and approved by the customer

Refunds:

Approved refunds are processed within 10 business days via bank transfer
Original shipping costs are non-refundable unless the error was on our part

10. Order Cancellations

Standard wholesale orders can be cancelled within 24 hours of written order confirmation
Custom / made-to-order items cannot be cancelled once production has been confirmed in writing
Cancellations after the allowed window may be subject to a production or restocking fee
Advance payments for custom orders are non-refundable once production has begun

11. Intellectual Property

All content on the ExedusTools website including images, logos, product descriptions, and branding is the property of ExedusTools
You may not copy, reproduce, distribute, or use any content from our website without prior written permission
Wholesale customers may use product images and descriptions solely for the purpose of reselling ExedusTools products — any other use requires written approval
Custom product designs and specifications submitted by customers remain the intellectual property of the customer — ExedusTools will not reproduce or share them without written consent

12. Limitation of Liability

ExedusTools’ total liability for any claim shall not exceed the value of the specific order in question
ExedusTools is not liable for any indirect, consequential, or special damages including loss of profit or business opportunity
ExedusTools is not responsible for losses caused by courier failures, customs delays, force majeure events, or third-party payment platform issues
ExedusTools is not liable for production errors resulting from incorrect or incomplete specifications provided by the customer

13. Wholesale Account Terms

Wholesale accounts are approved at ExedusTools’ sole discretion
Approved wholesale buyers agree to maintain the agreed MOQ per order
ExedusTools reserves the right to suspend or terminate a wholesale account for non-payment, breach of terms, or misuse
Wholesale pricing and terms are confidential and must not be shared with third parties without written consent from ExedusTools

14. Governing Law & Disputes

These Terms & Conditions are governed by the laws of Pakistan as the country of ExedusTools’ headquarters
For UK customers, applicable UK consumer protection laws also apply
For EU customers, applicable EU consumer rights directives also apply
For Australian customers, the Australian Consumer Law (ACL) also applies
In the event of a dispute, both parties agree to first attempt resolution through direct communication
If unresolved, disputes shall be referred to mediation or the applicable jurisdiction’s legal process

15. Changes to These Terms

ExedusTools reserves the right to update these Terms & Conditions at any time
Updated terms will be posted at www.exedustools.com/terms with a revised effective date
Continued use of our website or placement of orders after changes constitutes acceptance of the updated terms
